By accessing or using Grasp News (accessible via thegrasp.app), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.

Part 1: Terms of Service

1. Operator & Business Information

Grasp News is an independent digital news aggregation and summarisation platform owned and operated by Morgan Wheatley Technologies Ltd, a private limited company incorporated and registered in England and Wales.

  • Company Registration Number: 17465315
  • Registered Office Address: 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom
  • Contact: Direct electronic communication is available via our website Contact Page.
  • Governing Law & Jurisdiction: These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales, subject to the exclusive jurisdiction of the courts of England and Wales.

2. Service Description, AI Summaries & "AS IS" Supply

Grasp News provides automated, AI-assisted news aggregation, indexing, and workflow productivity tools. We programmatically extract factual statements from publicly accessible RSS feeds to generate concise, transformative summaries with direct attribution links back to original publisher sources.

  • AI Limitations & Hallucinations: Content summaries are generated using Large Language Models (LLMs). While our systems are engineered to prioritise factual accuracy, automated models can occasionally produce errors, omissions, or distorted summaries ("hallucinations"). Morgan Wheatley Technologies Ltd does not independently verify, audit, endorse, or author third-party news content.
  • Digital Service Supply: To the maximum extent permitted under the Consumer Rights Act 2015 and English law, the platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis. Morgan Wheatley Technologies Ltd does not warrant that the service will be continuous, uninterrupted, entirely error-free, or compatible with every browser or device configuration.

3. Strict Financial, Investment & Cryptocurrency Disclaimer

Please review this section carefully before relying on any market or financial information:

  • Informational & Workflow Purposes Only: Grasp News indexes and aggregates content across Crypto, Business & Finance, Tech, and AI categories purely for general informational, educational, and workflow efficiency purposes.
  • No Regulated Financial Activity: Nothing published, summarised, or linked on Grasp News constitutes financial advice, investment advice, tax planning, portfolio management, or a financial promotion under Section 21 of the Financial Services and Markets Act 2000 (FSMA) or regulations enforced by the Financial Conduct Authority (FCA).
  • High-Risk Digital Asset Warning: Cryptocurrencies, decentralised finance (DeFi) protocols, digital tokens, and financial derivatives carry extreme market volatility and risks of total capital loss. We do not evaluate or audit the regulatory standing, financial solvency, or integrity of any asset, platform, or company summarised.
  • No Commercial Inducement: Grasp News does not receive referral fees, affiliate commissions, token allocations, or commercial inducements from any protocol, exchange, or financial entity indexed on the platform. Content indexing and summarisation are programmatic, automated, and autonomous.
  • Zero Reliance & Exclusion of Trading Losses: You must not execute trades, enter financial contracts, or allocate capital based upon AI summaries or RSS snippets displayed on Grasp News. You must conduct your own independent due diligence and seek guidance from an FCA-authorised financial adviser. Morgan Wheatley Technologies Ltd accepts zero liability for trading losses, missed commercial opportunities, investment drawdowns, liquidation events, or financial damages resulting directly or indirectly from reliance on platform content.

4. Intellectual Property, RSS Sourcing, Notice-and-Takedown & Defamation Safe Harbour

We respect the intellectual property rights and reputations of journalists, publishers, and featured individuals. Grasp News does not host full-text articles or reproduce copyright paywalled content; our systems process publicly accessible RSS feeds to generate transformative, short-form factual summaries with clear attribution links in accordance with Section 30 of the Copyright, Designs and Patents Act 1988 (fair dealing for quotation, criticism, and review).

Statutory Notice-and-Takedown Protocol (E-Commerce Regulations 2002 & Defamation Act 2013)

In accordance with Regulation 19 of the Electronic Commerce (EC Directive) Regulations 2002 and Section 5 of the Defamation Act 2013:

If you are a copyright holder, publisher, or individual and believe that any content indexed or summarised on Grasp News infringes your intellectual property or constitutes defamatory material, please submit a formal notice via our website Contact Page with the subject line "Legal Takedown Notice".

Your notice must specify:

  1. The exact URL or summary on Grasp News in dispute;
  2. The original copyrighted work or the specific statement claimed to be defamatory or infringing; and
  3. Evidence of your ownership or legal authority to act on behalf of the complainant.

Upon receipt of a valid notice, Morgan Wheatley Technologies Ltd will investigate and, where appropriate, expeditiously disable, amend, or permanently remove the contested content within 48 hours, including permanently blacklisting the originating RSS feed from our ingest systems upon request.

5. Eligibility, Account Access & Fair Usage

  • Age Eligibility: You must be at least 16 years of age to create an account, and at least 18 years of age to purchase paid subscriptions.
  • Account Security: Account authentication is handled securely via third-party Single Sign-On (Google Sign-In). You are responsible for safeguarding access to your credentials and devices.
  • Prohibited Conduct: You agree not to deploy automated scraping bots, web spiders, or automated extraction tools against our platform or API endpoints without prior written authorisation; circumvent, bypass, or reverse-engineer our edge rate limiters, authentication tokens, or source code; or use the platform to distribute malicious code, spam, or unlawful material.
  • Termination: Morgan Wheatley Technologies Ltd reserves the right to suspend, throttle, or terminate user accounts immediately where we detect abusive scraping, API flooding, or violations of these Terms.

6. Subscriptions, Paid Tiers & Statutory Cancellation Waiver

  • Subscription Plans: Grasp News provides free access as well as premium paid subscription tiers (Grasp Pro and Grasp Ultra). Paid tiers provide enhanced capabilities, such as expanded custom RSS feed allowances and higher daily on-demand AI summary limits. Subscriptions are billed on a recurring monthly basis via our third-party payment partner, Stripe. Subscription pricing, billing intervals, and feature inclusions are clearly published on the platform and confirmed at checkout prior to any charge being processed.
  • Online Cancellation: Subscriptions may be cancelled at any time directly through your account dashboard or the Stripe Customer Portal. Cancellation halts future renewals, and premium access continues until the end of the prepaid billing period.
  • Refund Policy: Except where required by English statutory consumer protection law, all subscription fees are non-refundable, and we do not provide prorated refunds or credits for partial billing periods.
  • Statutory 14-Day Cooling-Off Period Waiver: Under Regulation 37 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, consumers ordinarily have a statutory 14-day right to cancel digital service contracts. However, when purchasing a digital subscription to Grasp Pro or Grasp Ultra:

    (a) You explicitly request and consent to the immediate supply and performance of the digital service and premium features upon completing checkout; and

    (b) You acknowledge and expressly agree that by accessing the premium digital features immediately, you waive and lose your statutory 14-day right to cancel the contract.

7. Limitation of Liability & Monetary Cap

To the maximum extent permitted under the Consumer Rights Act 2015 and English law:

  • Exclusion of Consequential Losses: In no event shall Morgan Wheatley Technologies Ltd, its directors, employees, or agents be liable to you or any third party for any indirect, special, incidental, or consequential damages, including without limitation: loss of profits, commercial revenue, business interruption, loss of personal or business data, trading or investment losses, or loss of goodwill.
  • Aggregate Liability Cap: The total aggregate financial liability of Morgan Wheatley Technologies Ltd for any and all claims arising out of or related to these Terms or the service—whether in contract, tort (including negligence), breach of statutory duty, or otherwise—shall be strictly limited to the total subscription fees paid by you in the twelve (12) months preceding the event giving rise to the claim, or £10.00 (ten pounds sterling), whichever is greater.
  • Statutory Exceptions: Nothing in these Terms limits or excludes liability for death or personal injury resulting from negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under the laws of England and Wales.

8. General Legal Boilerplate

  • Severability: If any provision of these Terms is found to be unlawful, invalid, or unenforceable by an English court, that provision will be severed without affecting the validity or enforceability of the remaining provisions.
  • Third-Party Rights: A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of these terms.

Part 2: Privacy Policy

Grasp News operates on a strict data-minimisation philosophy. We are ad-free, operate zero third-party behavioural ad tracking, and do not sell, rent, or trade your personal data.

1. Data Controller Information

  • Data Controller: Morgan Wheatley Technologies Ltd (Company No. 17465315), established at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
  • Direct Privacy Contact: Enquiries regarding data protection and privacy practices should be submitted via our website Contact Page.
  • Supervisory Authority: Information Commissioner’s Office (ICO), Wycliffe House, Water Lane, Wilmslow, Cheshire, SK9 5AF (ico.org.uk).

2. Personal Data We Collect

  • Account Identity Data: When you authenticate using Google Sign-In, we receive your name, email address, and unique Google account identifier. Sensitive profile identifiers are encrypted at rest using AES-GCM before database storage.
  • Platform Preferences & Feed Data: We store your custom RSS feed URLs, saved articles, and interface configurations (such as dark mode) to deliver your personalised feed dashboard.
  • Technical Session & Edge Telemetry: We use strictly necessary HTTP-only session cookies to authenticate your requests and prevent Cross-Site Request Forgery (CSRF). We use Cloudflare Web Analytics to monitor platform stability; this tool is 100% cookie-less, collects no personal browsing history, and does not track you across external websites.

3. Lawful Bases for Processing (UK GDPR Article 6)

  • Contractual Necessity (Art. 6(1)(b)): Processing authentication credentials, feed preferences, and dashboard layouts to deliver the core service agreed under our Terms of Service.
  • Legal Obligation (Art. 6(1)(c)): Retaining billing records and transaction logs to comply with statutory UK accounting, VAT, and HMRC obligations when commercial subscriptions are processed.
  • Legitimate Interests (Art. 6(1)(f)): Monitoring system telemetry, preventing malicious edge abuse or DDoS attempts, and maintaining platform stability.

4. Third-Party Sub-Processors & Data Infrastructure

We only engage trusted technical infrastructure providers that maintain strict data security and UK/EU adequacy standards:

  • Cloudflare Inc. (Global / UK / EU): Provides global serverless edge execution, caching, D1 database storage, and edge AI inference. AI summaries are executed directly via Cloudflare Workers AI on privacy-isolated infrastructure; feed content and user queries are never shared with advertising brokers or used to retrain public AI models.
  • Google Identity Services (Google Ireland Ltd): Provides secure OAuth 2.0 federated authentication, allowing identity verification without Grasp News handling or storing raw passwords.
  • Stripe Payments Europe, Ltd. (Ireland / UK): Serves as our payment infrastructure partner for subscription billing under PCI-DSS compliance. We do not store or process raw payment card details on our servers.

5. Security & Data Retention

  • Security Standards: All data in transit requires HTTPS encryption with modern TLS configurations. Sensitive personal data in persistent databases is encrypted at rest using AES-GCM.
  • Retention Policy: Your profile and custom feed preferences are retained only while your account is active. If you delete your account via your settings dashboard, your personal records and feed subscriptions are permanently purged from active production databases within 24 hours.
  • Financial Records: Anonymised payment records required for statutory tax auditing will be retained for statutory retention periods (up to six years) before disposal.

6. Your Statutory Rights (UK GDPR & Data Protection Act 2018)

You hold specific enforceable legal rights regarding your personal data:

  • Right of Access (Subject Access Request): Request a machine-readable copy of the personal data we hold about you.
  • Right to Erasure ("Right to be Forgotten"): Trigger full account deletion via your settings dashboard or contact us to erase your personal data.
  • Right to Rectification & Restriction: Request corrections to inaccurate personal data or restrict processing under certain conditions.

To exercise any of these rights, submit your request via our website Contact Page. We verify requester identities and respond to all valid statutory requests within one calendar month.

You also have the right to lodge a complaint with the UK supervisory authority, the Information Commissioner's Office (ICO) at ico.org.uk or by calling 0303 123 1113.
